Terms of Service
Governing B2B wholesale pharmaceutical discovery, EFDA compliance, Reverse Procurement Board interactions, and authorized medical distribution in Ethiopia.
1. Nature of the Platform & Scope of Service
Pharma ገበያ (accessible via pharmagebeya.com and its integrated Telegram Bot infrastructure) operates as Ethiopia's dedicated B2B wholesale digital exchange, technical directory, and reverse procurement platform. The platform connects verified healthcare facilities (including hospitals, clinics, retail community pharmacies, drug stores, and healthcare institutions) with authorized medical importers, manufacturers, and licensed wholesale distributors.
2. Healthcare Professional & Institutional Eligibility
Pharma ገበያ is strictly reserved for qualified healthcare providers, institutional buyers, and licensed commercial suppliers operating within the Federal Democratic Republic of Ethiopia. By creating an account or transacting on the platform, you represent and warrant that:
- You are an authorized representative of a legally registered healthcare facility (hospital, clinic, retail pharmacy, medical diagnostic center) or an EFDA-licensed wholesale importer/distributor.
- You hold valid and unexpired professional credentials (e.g., licensed Pharmacist, Druggist, Medical Doctor, or Procurement Officer) in good standing with the relevant regional or federal health bureaus.
- All corporate documentation provided during registration, including Tax Identification Number (TIN), Business Registration, and Principal Trade License, is authentic, accurate, and current.
3. EFDA Compliance & Wholesaler Verification Standards
Patient safety and pharmaceutical integrity are paramount. Wholesale suppliers and medical device importers listing products on Pharma ገበያ are subject to strict regulatory auditing under the Ethiopian Food and Drug Authority (EFDA) guidelines:
- Certificate of Competence (CoC): Verified wholesalers must provide their active EFDA Certificate of Competence to achieve the Verified Wholesaler badge.
- Product Registration: All listed pharmaceuticals, active molecules (INN), medical consumables, and capital equipment must be approved for importation and distribution by EFDA.
- Batch, Lot & Expiry Transparency: Suppliers must truthfully declare product shelf life, expiry dates, batch tracking, and manufacturer origin upon proforma issuance.
4. Reverse Procurement Board & Proforma RFQ Rules
The Reverse Procurement Board enables healthcare facilities to solicit competitive pricing for bulk orders and scarce medications:
- Public Requisition Transparency: To maximize price transparency and prevent artificial drug shortages, active requisitions (RFQs) are viewable publicly. However, only authenticated and verified suppliers can submit competitive proformas.
- Binding Quotations: When a supplier submits a proforma quote, the unit price, quantity, validity window, and payment terms (ETB) must be honored if accepted within the stated validity window.
- Proforma Acceptance: When a buyer clicks "Accept Proforma," an official notification is dispatched to the supplier via email, in-app messaging, and Telegram bot. The parties finalize logistics and payment through documented commercial invoices.
5. Commercial Pricing, MOQs & Payment Settlement
All prices displayed on product listings or quotes are denominated in Ethiopian Birr (ETB) unless explicitly negotiated otherwise for import letter-of-credit (LC) proformas:
- Minimum Order Quantities (MOQ): Wholesale orders are subject to supplier MOQs (e.g. cartons, vials, packs). Buyers must adhere to wholesale increments.
- Direct Payment: Payments are settled directly between buyer and supplier via approved commercial banking channels in Ethiopia (e.g. Telebirr, CBE Birr, Awash Bank, Dashen Bank, direct wire transfer). Pharma ገበያ does not directly handle cash on delivery or hold escrow funds unless formally contracted.
- Tax Invoicing: Suppliers are legally obligated to issue standard EFDA / Ministry of Revenue compliant VAT invoices with every completed wholesale shipment.
6. Market Stock Watchlist & Telegram Bot Services
Users may subscribe to automated stock notifications for critical or scarce active pharmaceutical molecules (INN):
-
Automated Dispatch: Alerts are triggered when an EFDA-verified supplier lists or restocks a matching product. Delivery channels include verified email and the official Telegram Bot (
@PharmaGebeya_bot). - Notification Management: Users maintain complete autonomy to toggle specific alert types (RFQ updates, watchlist arrivals, direct inquiries) in their Notification Preferences dashboard.
- Service Availability: While we endeavor to provide real-time alert delivery, network latency, carrier filtering, or third-party API throttling (e.g. Telegram service interruptions) are outside our immediate operational control.
7. Prohibited Platform Activities
The following actions constitute material violations of our service terms and will result in immediate sanctions:
- Submitting fictitious requisitions (RFQs) or submitting predatory fake proformas to manipulate prevailing market rates in Ethiopia.
- Impersonating licensed health institutions or uploading falsified EFDA Certificates of Competence or forged TIN certificates.
- Extracting, scraping, or mass-harvesting supplier contact directories or pricing data through unauthorized automated bots or crawlers.
- Circumventing platform security controls, exploiting session authentication, or tampering with Telegram WebApp cryptographic signatures.
8. Limitation of Liability & Medical Disclaimer
Pharma ገበያ operates as an administrative B2B marketplace. Under no circumstances does the platform provide clinical advice, medical diagnosis, or patient-specific treatment guidelines. Licensed healthcare facilities and their pharmacists bear full professional responsibility for verifying pharmaceutical appropriateness, dosage regimens, cold-chain storage conditions, and batch validity upon physical delivery.
To the fullest extent permitted under Ethiopian law, Pharma ገበያ and its operators shall not be liable for direct, indirect, incidental, or consequential damages resulting from supplier delivery delays, courier damage, stock discrepancies, or non-fulfillment of commercial contracts between registered parties.
9. Governing Law & Dispute Resolution
These Terms of Service and any dispute, controversy, or claim arising out of or relating to your use of Pharma ገበያ shall be governed by, construed, and enforced exclusively in accordance with the substantive laws of the Federal Democratic Republic of Ethiopia.
Any legal action or proceeding arising under these Terms shall be instituted exclusively before the competent Federal and Regional Courts sitting in Addis Ababa, Ethiopia.
